I’m sorry, but just because you have the letters “LLC” behind your business name, doesn’t mean you’re protected if someone sued your LLC or Corporation. A one page filing that you did online or had an accountant/attorney prepare does not protect you.
Remember, the purpose of an LLC is to protect ‘YOU’ if something goes wrong in your business (…think of someone slipping and falling in the restaurant or a tenant slipping on ice outside your rental property). However, JUST LIKE a corporation, the “veil” must be protected or maintained. The ‘veil’ is protected by:
- Using separate checking
- Using the company name in all contracts
- Making sure it’s in good standing with the State
- Filing the proper tax return for the entity
- Signing Membership Certs if LLC
- Using the company name in the marketing materials
- Doing annual minutes for both LLCs and Corps
- Paying annual fees to the Secretary of State
- Having Bylaws or Operating Agreement
- Signing Shareholder Certs if Corp
